Terms and Conditions

PARTIES

This is a Life Coaching Agreement between the Client and the Life Coach/Kinder Wayz; and between the Client, being the Parent, their Teen/Minor, and the Life Coach/Kinder Wayz.

    • The term “Client” refers to the party receiving the coaching.
    • The term “Life Coach” refers to the party executing the coaching.
    • No assignments are allowed. Meaning the Client cannot assign their sessions to another person.
    • The term “Client” also refers to the Parent and a Minor receiving the Coaching. However, the Parent is the sole person responsible for payment of the coaching sessions.

PURPOSE OF THE AGREEMENT

    • The purpose of this Agreement is to enter a coaching relationship between the Coach and the Client, where the Coach will train the Client and cultivate their personal, professional, and business goals.
    • Coaching is a collaborative process with an ongoing relationship between the Coach and the Client in a thought-provoking, forward-looking, and creative process that inspires the Client to maximize personal and professional potential.
    • Coaching is designed to facilitate the creation and development of personal, professional, or business goals and to conduct a strategic plan for achieving those goals.
    • The Client understands coaching to be an ongoing, interactive, professional relationship designed to help the Client achieve the desired results in their life and career.
    • Per this Agreement, the Coaching experience supports the Client in establishing new behaviors to help make progress in specific areas of the Client’s life.

TERMS OF THIS AGREEMENT

    • This Agreement shall remain in force for 12 or 16 weeks, depending on the selected program, from the Commencement date. After the Client completes their selected 12 or 16-week program, a new Agreement will be signed if the Client wants to continue service.
    • Amendments to this Agreement must be in writing and signed by both the Client and the Coach.
    • By entering into this Agreement, the Coach and the Client acknowledge that the Client desires to make a behavioral change or some improvement in their life. Behavioral change often takes time to implement and sustain. The pace of change is uncertain and varies among individuals. As such, the Coach and the Client agree to a minimum of a 3-month relationship.
    • The Client agrees to severability. Meaning if one clause is illegal, the rest of the terms are still acceptable.
    • The Client and Coach agree to Force Majeure. Meaning no one must do anything if an act of God or war makes it impossible.
    • The Client agrees that the interpretation of these terms to be lawful is by the state of New York.
    • The Client agrees to a non-litigation option, mediation, to settle all disputes.

PAYMENT FOR SERVICES

    • The Client will pay the selected program fee in full for the performance of Life Coaching services each month. The Coach requires an initial 3-month commitment from the Client, which is non-refundable. Future payments are agreed to be recurring and are agreed in advance for the coach to keep charging the Clients credit card on file each month until the completion of the selected program.
    • All sessions are paid for in advance and before the coaching services are provided each month. At any time the Client’s payment stops, the Client will be removed from the program and will still owe for that month.
    • Rejected cards, late fees, and chargebacks have a fee of $25.00.
    • The Frequency of the Sessions will be 1 to 2 sessions a week, depending on the program the Client selected.
    • The Duration of each Session will be 45 Minutes. If the Client chooses to end the session early for any reason, the session will be considered an entire and completed session.
    • The term “session credit” refers to a session that will be given to replace a missed session but is used before the Client completes the program. However, the session credit will be voided if not used within the said period. Only the Coach has the discretion to assign a session credit.
    • All Program and session prices are subject to change.

COACHING SESSION PROCEDURES

    • Coaching sessions may occur via video, phone, or email, depending on the venue that works best for both the Client and the Coach.
    • The Client and the Coach agree to adhere to the established appointment times.
    • The Client and the Coach agree to begin and finish all appointments on time.
    • Other communications by email and text are welcomed between sessions, and the coach will try to respond to them promptly.

CANCELLATION & RESCHEDULE POLICY

    •  If the Client is more than 15 minutes late to an appointment, the Coach will assume that the session is canceled and that the missed session will be considered completed by both parties. No session credit will be applied.
    • If the Coach is more than 15 minutes late to an appointment, the Client may assume that the session is canceled, and the Client will receive 1 session credit to be scheduled and used before the completion of the Client’s selected program.
    • The Client agrees to cancel or reschedule an appointment at least 24 hours in advance without a change fee. Any change or cancellations by the Client within 24 hours of the appointment or a no-show are subject to a $25.00 fee charged to the Client’s credit card on file for that session and said session would also be counted as complete.
    • Kids in Sessions: Infants can be present during a session, but please be aware that they may distract you or your coach. Please be advised that the Coach could terminate your session or ask you to reschedule should you bring children to your session who are not directly involved in the coaching session.

TERMINATION OF AGREEMENT AND REFUND POLICY

    • All coaching sessions are pre-booked, paid for in advance, and nonrefundable. The Clients reserved sessions in the Coach’s limited calendar are not easily filled.
    • The Client is obligated to give the Coach at least 30 days notice of cancellation of their selected program. This allows the Coach to try and fill the sessions that were scheduled for you.
    • The Coach reserves the right to terminate this Agreement and cancel all pre-booked sessions without explanation should a client manifest hostile, aggressive, inappropriate, or violent behavior. Under these said circumstances, the Client will incur an additional $200.00 penalty fee to cover the cost of filling the sessions that were reserved for the Client. This allows the Coach to recover some income loss from having to abruptly remove the Client from the program.

CONFIDENTIALITY AND ETHICS

    • All terms and conditions of this Agreement and any materials provided during the duration of the Agreement must be kept confidential by the Client unless the disclosure is required pursuant to the process of law.
    • Disclosing or using this information for any purpose beyond the scope of this Agreement or beyond the exceptions set forth above is expressly forbidden without the prior consent of the Coach.
    • The Coach agrees never to disclose or share information that pertains to the Client without the Client’s written consent.
    • All information will remain private except in the case of a court subpoena. Please note that any legal protections that apply in a therapy and counseling setting DO NOT apply in the Coach-Client relationship.
    • Exceptions to confidentiality may be made if there is an imminent threat of severe injury to oneself or someone else.
    • If You Attend a Session Impaired: We will not engage in coaching with individuals who appear to be impaired by drugs or alcohol of any sort. Please note that if you attend a session and appear to be under the influence of any drugs or alcohol, the Coach will refuse to continue, the Clients session will be considered complete, and no session credit will be applied.
    • Regarding Coaching on Sexual Concerns: Your Coach will NEVER encourage you to touch yourself or your partner in a sexual manner in her presence. Nudity or revealing clothing is unacceptable during sessions for all parties. Any inappropriate behavior will not be tolerated, and the Coach may choose to end the coaching session immediately, and the Client could be removed from the program without a refund.

EXCLUSIVITY AND INTELLECTUAL PROPERTY

    • The Parties agree that this Agreement is not an exclusive arrangement and that the Coach is entitled to enter into similar agreements with other clients.
    • Hereby, the Client agrees that any intellectual property provided to them by the Coach will remain the sole property of the Coach, including, but not limited to, copyrights, patents, trade secret rights, and other intellectual property rights associated with any ideas, concepts, techniques, inventions, processes, works of authorship, confidential information, or trade secrets.
    • The Client agrees not to post the Coach’s intellectual property online and not to use it in their practice.
    • The Client understands that the Coach might be launching a licensing or certification program eventually, and the Client can contact the Coach for more information.

THE COACH RESPONSIBILITIES

    • The Coach will provide the Client with professional coaching services to facilitate the achievement of agreed written goals through a series of regular meetings and conversations.
    • The Coach will guide, support, and be an accountability partner to the Client.
    • The Coach will ask powerful, thought-provoking questions and use coaching tools and resources deemed helpful to the coaching process.
    • The Coach will employ strategies that challenge the Client’s thinking to raise awareness and encourage responsibility.
    • The Coach will be open and honest to achieve positive change and growth.
    • The Coach will build a relationship based on mutual trust and a collaborative learning approach.

THE CLIENT RESPONSIBILITIES

    • The Client agrees to complete all assignments to maximize positive progression.
    • The Client gives permission for the Coach to interrupt and “manage” the conversation.
    • The Client agrees to be open, honest, and put forth maximum effort toward the sessions.
    • The Client agrees to build a relationship based on mutual trust.
    • The Client agrees to communicate their progress regularly with the Coach.
    • The Client acknowledges that coaching is a comprehensive process involving different areas of their life, including work, finances, health, relationships, education, and recreation. The Client agrees that deciding how to manage these issues, incorporating coaching principles into those areas, and implementing choices is exclusively the Client’s responsibility.
    • The Client is solely responsible for creating and implementing their physical, mental, and emotional well-being, decisions, choices, actions, and results arising out of or resulting from the coaching relationship and their coaching calls and interactions with the Coach. As such, the Client agrees that the Coach is NOT and will NOT be liable or responsible for any actions, inaction, or any direct or indirect result of any services provided by the Coach. Every choice the Client decides on is solely in the Client’s control and NOT the Coach’s.
    • The Client understands coaching is NOT therapy, does NOT substitute for treatment if needed, and does NOT prevent, cure, or treat mental disorders or medical diseases.
    • The Client understands that the Coach is NOT providing mental health advice or medical advice.
    • The Client acknowledges that coaching does NOT involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and that the coaching is NOT to be used as a substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical, or other qualified professionals.
    • The Client understands that the Coach is NOT a registered investment advisor, a financial planner, or a consultant.
    • The Client, whom is the Parent of a minor taking a program, gives permission for the minor to participate in a Life Coaching Program and understands that they are 100% responsible for all fees.
    • The Client understands that a broad range of events is reportable under child protection statutes. Physical or sexual abuse of a child will be reported to Child Protective Services. When the child abuse victim is over 18, the Coach is not legally mandated to report it unless they believe that there are minors still living with the abuser who may be in danger of being abused. Elder abuse is also required to be reported to the appropriate authorities. If you are at risk to yourself or someone else or make threats of imminent violence against another person, the Coach will take appropriate action.
    • Clients under 18 years of age and their parents: be aware that the law may allow parents to examine their child’s treatment records. Because privacy in coaching is often crucial to successful progress, particularly with teenagers, it is sometimes our policy to request an agreement from parents that they consent to give up their access to their minors’ records. If they agree, during the span of coaching sessions taking place, the Coach will provide them (if requested) only with general information about the progress of the minors’ sessions and their attendance at scheduled sessions. Any other communication to parents will require the minors’ authorization unless we feel they are in danger or are a danger to someone else. In this case, the Coach will notify the parents of the concern. Before giving parents any information, the Coach will discuss the matter with the minor, if possible, and do their best to handle any objections the minor may have. A copy of the divorce decree indicating parental rights to view records and participate in coaching sessions will be required in divorce cases.
    • The Client understands the following definition of Life Coaching.

Life Coaching- A life coach is a type of wellness professional who helps people progress in their lives to attain greater fulfillment. Life coaches aid their clients in improving their relationships, careers, and day-to-day lives. Life coaches work with functioning individuals looking to create a pathway to reaching set goals in work, personal life or family, relationships, and even day-to-day life. Life Coaches act as unbiased thinking partners and hold their clients accountable. Life Coaching is NOT therapy or consulting, and the Coach is NOT a therapist, consultant,

Acknowledgment and Release of Liability By checking the box, I agree that I am signing and agreeing to this disclosure and consent statement and all the terms, conditions, and policies. I acknowledge that I understand the information. I agree to hold my life coach from all liabilities and claims that may arise from my participation in life coaching.
